§1

NAME, LOCATION AND PURPOSE

The association bears the name Turn- und Sportverein München-Allach 1909 e. V., and is based in Munich-Allach.

The club is a member of the Bavarian State Sports Association and the Bavarian Football Association in the Bavarian State Sports Association. He recognizes their statutes and regulations in their respective legally valid versions.

The association is politically and religiously neutral.

The association pursues exclusively and directly charitable purposes within the meaning of the section "Tax-privileged purposes" of the tax code (AO 1977)

The purpose of the association is to maintain and promote sport. The statutory purpose is realized in particular by:

  • Organization of regular sports and games for all age groups,

  • Construction, maintenance and repair of the sports facility and the clubhouse,

  • conducting meetings, lectures, courses and sporting events,

  • Training and use of appropriately trained trainers.

The association is selflessly active; it does not primarily pursue its own economic purposes. Funds of the association may only be used to achieve the statutory purposes. The members do not receive payments from the association. Retired members have no claim to the association's assets.

No person may be favored by expenses that are alien to the purpose of the association or by disproportionately high remuneration.

The club notifies the Bavarian State Sports Association, the Bavarian Football Association and the responsible tax office for corporations of any change in the non-profit status.

PURCHASE OF MEMBERSHIP

The application for admission must be submitted in writing to the Board of Directors or the office. The application for admission by minors requires the signature of the legal representative. Acceptance is decided upon by the board. If the latter rejects an application for membership, the applicant can lodge an objection with the association committee within four weeks of the written notification of the rejection, which the committee decides on with a simple majority. A rejection of the application for membership by the association committee is incontestable.

LOSS OF MEMBERSHIP

  1. Membership expires through resignation , death or expulsion from the association.

  2. Resignation is only possible at the end of a calendar year; the resignation must be submitted to the board in writing by November 30th. to explain each year.

  3. A member can be expelled from the association

  • due to payment arrears with more than one annual contribution, despite two reminders,

  • due to a serious violation of the interests of the club or gross unsportsmanlike conduct.

  1. The exclusion takes place after the person concerned has been heard by the association committee if the simple majority of all committee members vote for the exclusion. An objection to this decision is permissible within two weeks, and the next general meeting then has to decide on it – until then the membership is maintained.

  2. If there is a reason for exclusion or a violation of the rules of the game and the playing field, the board can issue a temporary ban on using the club's own facility and participating in events.

 

Members who have been entrusted with offices must give an account beforehand.

CONTRIBUTIONS

All contributions and other services are determined by the general meeting.

 

The contributions of the previous football department of the club apply until a new determination is made

The collection of contributions takes place exclusively by direct debit procedure on

beginning of a calendar year.

 

A proportionate reimbursement of the fee will not be made in the event of loss of membership under § 3.

GAME AND COURT RULES

In the game and court regulations , the game operation, the court order and all related questions should be regulated.

VOTING RIGHTS AND ELECTION

All members over the age of 18 are entitled to vote.

 

Members who do not have the right to vote can attend the general meetings.

 

The right to vote can only be exercised in person.

 

All adult club members are eligible. Absent members can also be elected if there is a declaration of acceptance of an election.

Organs of the association are:

  • the club committee

GENERAL MEETING

  1. The supreme body of the association is the General Assembly .

  2. An ordinary general meeting takes place annually within the first 3 calendar months of the year. All members are to be invited to this annual general meeting 4 weeks in advance by posting it on the notice board of the association, stating the agenda.

  3. An extraordinary general meeting must be convened within two weeks

  • if the board or the association committee decides to do so

  • or if at least one quarter of all members so requests.

The invitation is issued in the same way as for the ordinary general meeting .

  1. The General Meetings are convened by the Board of Directors.

  2. The agenda for the ordinary general meeting must contain the following items

  • Reading the minutes of the last meeting

  • report of the board of directors,

  • Report of the technical director, the youth leader, the referee chairman and the cashier,

  • auditor's report,

  • Discharge of the board and the other committee members,

  • Choose,

  • Resolution on existing applications,

  • Various.

  1. The general meeting appoints two cash auditors for 3 years, who check the accounts of the board and report to the general meeting. The auditors can only be re-elected once.

  2. The General Assembly has a quorum regardless of the number of members present. The person who receives the simple majority of the votes cast is elected. Resolutions are passed with a simple majority of the votes cast. A tie is considered a rejection.

  3. Amendments to the statutes require a two-thirds majority of the voting members present.

  4. Applications can be submitted by all members. Motions that are not received in writing by the 1st board at least 10 days (postmark) before the meeting can only be voted on with the consent of the board.

  5. Elections and votes are carried out secretly and in writing if at least 10 members entitled to vote request this.

 

Several elections and votes can be completed in one ballot.

CLUB COMMITTEE

  1. The members of the association committee, with the exception of the chairman of the association 's youth leadership, are re-elected by the ordinary general meeting for a period of 2 years.
    The club committee normally consists of:

  • the Chairman

  • the vice chairman

  • the technical manager

  • the chairman of the youth association

  • the plant manager

  • the cashier

  • the secretary

  • the umpire

However, the General Assembly is not bound by this. She can elect more or fewer committee members, whose areas of responsibility she can determine.

  1. The association committee can appoint substitute members for committee members who resign during the year.

  2. It implements the resolutions of the general meeting and decides on all matters that are not regulated by the general meeting.

  3. Within the framework of the statutes, the resolutions of the general meeting and the association committee, the individual committee members are responsible for the ongoing association work as follows:

 

  • chairman
    He represents the association externally and is responsible for all decisions that need to be dealt with quickly due to urgency, provided they are not of fundamental importance to the association.
    The approval of the association committee is not required for such decisions. However, the association committee must be informed of such decisions at short notice.
    The chairman also chairs the general assembly and the association committee.

  • Deputy Chairman
    He deputizes for the chairman in his absence. This regulation only applies internally.

  • Technical Manager
    He is responsible for game operations and sporting events.

  • Chairman of the youth association
    He is responsible for game operations, sporting events and special concerns of young people.

  • facility manager
    He is responsible for maintaining the club's facilities and equipment.

  • cashier
    He takes care of the cash register.

  • secretary
    He draws up the necessary minutes and does the written work.

  • umpire
    He is responsible for all matters relating to the referees and for filling the games assigned to the club by the association.

Meetings of the association committee take place at the invitation of the board of directors. He is obliged to convene a meeting if three committee members request it.

The committee has a quorum if more than half of the committee members are present.

BOARD OF DIRECTORS

  1. The extended board consists of the chairman, his deputy, the treasurer and the

secretary.
In the event of a tie, the chairman decides.
The board of directors manages the association.

  1. The chairman and his deputy represent the association externally

judicial and extrajudicial (board of directors within the meaning of § 26 BGB). Everyone is authorized to represent alone.

Internally, however, the deputy chairman is only authorized to exercise the powers of the executive board if the chairman is unable to do so.

  1. The board of directors is appointed by resolution of the general meeting for a period of 2 years. He remains in office until the statutory new appointment of the next board. In the event that a member of the board resigns before the end of the term of office, the remaining board is entitled to appoint a person who will continue to hold the vacant office until the end of the regular term on an interim basis (right to self-supplement).

  2. The power of representation of the board of directors is limited with effect against third parties (§ 26 Para. 2 Sentence 2 BGB) in such a way that the 1st chairman or - in his absence - his deputy for the conclusion of transactions with a business value of more than DM 5,000.00 in an individual case and/or more than a total of DM 20,000.00 in a calendar year, the prior approval of the association committee and for the conclusion of transactions with a business value of more than DM 20,000.00 in an individual case and/or a total of DM 50,000.00 in a calendar year as well as for the purchase or sale, encumbrance or all other disposals of land and rights equivalent to land requires the prior consent of the general meeting.

PROTOCOL

Minutes must be taken of the resolutions of the General Assembly and the Association Committee. which is to be signed by the secretary and the chairman.

DISSOLUTION OF THE ASSOCIATION

  1. The dissolution of the association can only be decided in an extraordinary general meeting.
    Only the item “dissolution of the association” may be on the agenda of this meeting.

  2. Such a general meeting may only be convened if

​​

  • the association committee has decided with a majority of three quarters of its members or

  • two-fifths of the members of the association entitled to vote request in writing.

​​

The meeting has a quorum if at least half of the members entitled to vote are present.
If less than half of all members entitled to vote are present at this general meeting, a new general meeting must be convened within four weeks to decide on the dissolution of the association. This meeting has a quorum regardless of the number of members present.


The invitation to this second meeting must expressly refer to this.

  1. The dissolution can only be decided with a majority of three quarters of the voting members present.

  2. In the same meeting, the members have to appoint the liquidators, who then handle the current business and have to convert the existing association inventory into money.

  3. If the association is dissolved or if tax-privileged purposes no longer apply, the association's assets go to the Turn- und Sportverein München-Allach 1909 Turnen und Handball eV, which must use them directly and exclusively for charitable purposes.
